Terms of Use

1. Introduction

These Terms of Use (this "Agreement") are an electronic record under the Information Technology Act, 2000, generated by a computer system and not requiring any physical or digital signature. They govern your access to and use of all online products, platforms and services provided by VividMinds Technologies Private Limited ("VividMinds," "we," "us" or "our"), a company incorporated under the Companies Act, 2013 with its registered office at 3rd Floor, Myscape Weave, Financial District, Nanakramguda, Hyderabad, Telangana 500032, India.

By registering for an account or otherwise accessing or using the Products or Services, you agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

IF YOU DO NOT HAVE THE LEGAL CAPACITY TO ENTER INTO A BINDING CONTRACT OR DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PRODUCTS OR SERVICES.

2. Updates To These Terms

We may update, amend or modify these Terms from time to time and will notify you of any material changes via email, in-product notice or by posting the revised Terms on our website. Your continued access to or use of the Products or Services after such notification constitutes your acceptance of the updated Terms.

3. Use of Products and Services

3.1. Account Registration and Security

To access or receive the Products or Services, you may be required to register for an account. You agree to provide and maintain accurate, current and complete information. You are solely responsible for safeguarding your login credentials and for any activity occurring under your account.

3.2. Permitted Use

Subject to your compliance with this Agreement, VividMinds grants you a limited, nonexclusive, nontransferable, worldwide right to access and use the Products and Services solely for your internal business purposes.

3.3. Restrictions

Except as expressly permitted, you shall not:

  • Rent, lease, sublicense, resell or commercially exploit the Products or Services
  • Reverse-engineer, decompile or disassemble the Products or Services
  • Remove or alter any proprietary notices
  • Input highly sensitive personal data into AI-powered features

4. Users

You may authorize individuals ("Users") to access and use the Products and Services. You are fully responsible for all activities initiated by your Users.

Age Requirement:

The Products and Services are not intended for use by individuals under 16 years of age. In India, you must be at least 18 years old or have verifiable parental consent.

5. Use of Your Information and Content

You are solely responsible for all content, data and materials ("Customer Data") that you create or upload. You retain all rights to your Customer Data. By providing Customer Data, you grant us a worldwide, nonexclusive, royalty-free license to access, store and process it solely to provide and improve the Services.

6. Third Party Services and Integrations

VividMinds may leverage third party service providers to deliver or enhance our Products. We share your data with these providers only as necessary and under strict confidentiality obligations.

6.1. AI/ML Service Providers

We may share your data with third-party AI providers (e.g., OpenAI, Google AI) who are contractually bound to confidentiality and may not use your data for any other purpose.

7. AI and Machine Learning

AI Processing Disclosure:

Some features use third-party AI services. By using these features, you consent to secure transmission of your input data to our AI partners.

7.2. Accuracy Disclaimer

AI-generated content may be incomplete or inaccurate. You are responsible for verifying all AI outputs before relying on them.

7.4. Model Training

We do not use your non-anonymized Customer Data to train AI models without your explicit consent.

8. Rules and Conduct

You agree not to use the Services for any unlawful purpose or in violation of this Agreement. Prohibited activities include:

  • Violating any applicable law or third party rights
  • Engaging in threatening, abusive, or fraudulent conduct
  • Impersonating any person or entity
  • Interfering with or disrupting our infrastructure
  • Attempting unauthorized access to our systems

9. Content Ownership and Copyright

All VividMinds Content remains our exclusive property. You retain all rights to your Customer Data. By providing data, you grant us a license to use it solely to provide and improve the Services.

10. Reviews and Feedback

Any feedback you provide becomes our sole property and may be used without compensation or obligation to you.

11. Support

VividMinds provides online support resources and email support at support@VividMinds.ai. We commit to 99.5% uptime excluding scheduled maintenance.

12. Termination

We may suspend or terminate your access if you breach this Agreement. Upon termination, we may delete all associated data.

13. Disclaimer

THE PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

VividMinds does not warrant that the Services will be uninterrupted, error-free, or secure.

14. Indemnification

You agree to defend and indemnify VividMinds from any claims arising from your use of the Services or violation of this Agreement.

15. Limitation of Liability

VividMinds' aggregate liability for direct damages will not exceed the fees paid by you in the twelve (12) months prior to the claim.

16. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

17. Miscellaneous

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
